End User License Agreement

IMPORTANT — READ CAREFULLY. This End User License Agreement ("Agreement") is a

legal agreement between you ("Licensee") and Recode Audio ("Licensor") for the

Studio 84 Series software plug-ins and any associated presets, sound banks, and

documentation (collectively, the "Software"). By downloading, installing, or using

the Software, you agree to be bound by this Agreement. If you do not agree, do not

install or use the Software.

1. License Grant

Licensor grants you a non-exclusive, non-transferable (except as in §4) license to

install and use the Software on computers you own or control, for your own music

production purposes, subject to this Agreement. A purchased license unlocks the

Software for unlimited time on a perpetual basis for the version purchased.

2. Demo / Trial Version

Unlicensed (demo) use is permitted for evaluation only. The demo periodically

inserts an audible noise signal and may not be used in commercial or final

production work. You may not attempt to circumvent the demo limitation.

3. Restrictions

You may not: (a) resell, rent, lease, sublicense, or redistribute the Software or

your license key; (b) reverse-engineer, decompile, or disassemble the Software

except to the extent expressly permitted by applicable law; (c) remove or alter any

proprietary notices; (d) share your license key publicly or use it to enable use by

parties who have not purchased a license.

4. License Transfer

You may make a one-time permanent transfer of your license to another party,

provided you transfer all associated materials, retain no copies, and the recipient

agrees to this Agreement. Notify Licensor of the transfer where a transfer process

is provided.

5. Presets and Sound Content

Factory presets and sound banks are provided for use within the Software. Music you

create using the Software (including sounds derived from the presets) is yours; no

additional license or royalty is owed to Licensor for your musical works.

6. Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest

in and to the Software, including all intellectual property rights. Product names of

third-party hardware referenced for descriptive purposes are the property of their

respective owners; Recode Audio is not affiliated with or endorsed by them.

7. Updates

Licensor may provide updates at its discretion. This Agreement governs any updates

unless accompanied by a separate license.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED,

INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A

PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK ARISING FROM USE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY

INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA,

PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. LICENSOR'S TOTAL

LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

10. Termination

This Agreement terminates automatically if you breach it. Upon termination you must

cease use and delete all copies of the Software.

11. Governing Law

This Agreement is governed by the laws of the jurisdiction of Licensor's principal

place of business, without regard to conflict-of-laws principles.
